接受条款

通过访问和使用LicenseChain的服务，您接受并同意受本协议的条款和规定约束。如果您不同意遵守上述规定，请不要使用此服务。

服务描述

LicenseChain提供一个基于云的许可证管理平台，允许您：

• 生成和管理软件许可证密钥
• 实时验证许可证有效性
• 跟踪许可证使用情况和分析
• 通过API与您的应用程序集成
• 管理客户订阅和计费

用户账户

要访问我们服务的某些功能，您必须注册账户。您同意：

• 提供准确完整的信息
• 维护密码的安全性
• 接受您账户下所有活动的责任
• 立即通知我们任何未经授权的使用
• 至少18岁或获得父母同意

计费和付款

我们的服务以订阅方式提供，具有以下条款：

• 费用按月或按年预先计费
• 除法律要求外，所有费用均不可退还
• 我们可以在提前30天通知的情况下更改费用
• 您负责所有适用的税费
• 收到发票后立即付款
• 我们可能因未付款而暂停服务

Seller Payouts and Settlements

When you sell through LicenseChain (including LicenseChain Pay checkout), seller settlements are governed by the seller dashboard and these Terms:

• Balances become withdrawable according to the platform maturation schedule (NET15 half-period settlement) shown in the seller dashboard.
• Automated withdrawals require a minimum matured available balance (currently the amount configured in the platform, typically EUR/USD 100 or equivalent).
• The default seller payout rail is USDC on the Base network. Eligible USDC payouts may be processed automatically by the platform payout systems when dashboard conditions are met (including minimum balance, wallet on file, and any required verification).
• Bank / SEPA / wire transfers are not the default rail. They are processed manually, only as an operational exception for verified B2B sellers, subject to business verification (KYB), beneficiary name matching the verified legal entity, compliance review, and the same minimum matured balance rules.
• Withdrawal fees, reserves, and any arbitrage or security holds disclosed in the seller dashboard or a separate written B2B agreement apply before funds are sent.
• LicenseChain provides software licensing and an integrated payment solution with third-party payment partners. LicenseChain is not a bank, EMI, or payment gateway to which a seller bank account is “connected” for automatic bank settlement.

您同意不将我们的服务用于任何非法目的或本条款禁止的任何目的。您不得使用我们的服务：

• 以任何违反适用法律或法规的方式
• 传输或促成发送垃圾邮件或未经请求的通信
• 试图获得对我们系统的未经授权访问
• 干扰或中断我们的服务
• 进行反向工程或尝试提取源代码
• 创建竞争产品或服务

知识产权

服务及其原始内容、功能和特性是并将继续是LicenseChain及其许可方的专有财产。服务受版权、商标和其他法律保护。

数据和隐私

您的隐私对我们很重要。请查看我们的隐私政策，该政策也管理您对服务的使用，以了解我们的做法。您保留数据的所有权，我们不会将其用于提供我们服务以外的目的。

服务可用性

我们努力保持高服务可用性，但无法保证不间断访问。我们可能因维护、更新或其他原因暂时暂停服务。我们对任何停机或服务中断不承担责任。

责任限制

在任何情况下，LicenseChain及其董事、员工、合作伙伴、代理商、供应商或关联公司均不对任何间接、偶然、特殊、后果性或惩罚性损害承担责任，包括但不限于利润、数据、使用、商誉或其他无形损失的损失，这些损失是由于您使用服务而产生的。

终止

我们可能立即终止或暂停您的账户并禁止访问服务，无需事先通知或承担责任，根据我们的唯一判断，出于任何原因且无限制，包括但不限于违反条款。

适用法律

本条款应根据美利坚合众国新墨西哥州法律解释和管辖，不考虑其法律冲突条款。因本条款产生的任何争议将在新墨西哥州法院解决。LicenseChain LLC是新墨西哥州有限责任公司（LLC）。

条款变更

我们保留随时修改或替换这些条款的权利，由我们自行决定。如果修订是实质性的，我们将在任何新条款生效前至少提前30天通知。
